Kapitola se zabývá zejména otázkou zda, popřípadě v jakém rozsahu, lze vztah mezi obchodní korporací a členem jejího voleného orgánu podrobit režimu zákoníku práce. Problémem, jak v souladu s právem smluvně regulovat vztah mezi obchodní korporací a členem jejího orgánu při výkonu funkce, se potýká teorie i praxe od začátku devadesátých let minulého století a od této doby prošlo její řešení mnoha legislativním i úpravami a zabývala se jím i judikatura vyšších soudů. Kapitola mapuje jednotlivé etapy vývoje řešení této otázky a analyzuje současnou právní úpravu.

The chapter deals mainly with the question of whether, or to what extent, the relationship between a business corporation and a member of its elected body can be subject to the regime of the Labor Code. The problem of how to regulate the relationship between a business corporation and a member of its body in the performance of its duties in accordance with the law has been the subject of theory and practice since the early 1990s, and since then courts. The chapter maps the various stages of development of this issue and analyzes the current legislation.
